These Terms of Service ("Terms") govern your access to and use of the Holalit mobile application and related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not accept these Terms, you may not use the Services.
We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Services or via email. Your continued use following such notice constitutes acceptance of the revised Terms.
1. ACCOUNT ELIGIBILITY AND REQUIREMENTS
1.1 Age and Eligibility. You must be at least 13 years old to use our Services. By creating an account, you represent that you meet this age requirement and are not required to register as a sex offender in any jurisdiction.
1.2 Account Registration. Certain Services require account creation. You agree to provide accurate information during registration, including a valid username and password. You may also register through approved third-party services, subject to their respective terms and policies.
1.3 Account Security. You are solely responsible for maintaining the security of your account credentials and for all activities conducted through your account.
1.4 Account Termination. You may request account deletion by contacting support at [email protected]. Deletion is permanent and may result in the irreversible loss of your content. We reserve the right to suspend or terminate your account for violations of these Terms or for any activity that threatens the integrity of our Services or the safety of our users.
2. ACCEPTABLE USE AND PROHIBITED ACTIVITIES
You agree not to engage in the following prohibited activities:
- 2.1 Create, upload, or distribute content that is illegal, false, defamatory, obscene, pornographic, invasive of privacy, harassing, threatening, abusive, or otherwise objectionable.
- 2.2 Impersonate any individual or entity or gain unauthorized access to another user's account.
- 2.3 Harass, abuse, intimidate, or defraud other users, or collect their personal information without consent.
- 2.4 Disrupt, damage, or interfere with the security features of the Services, remove proprietary notices, or attempt to reverse engineer any portion of the Services (except as expressly permitted by applicable law).
- 2.5 Introduce malicious code, including viruses or malware, that could disrupt the operation of the Services or impair other users' experience.
- 2.6 Use automated systems, such as bots or scrapers, to access, monitor, or copy any part of the Services without authorization.
- 2.7 Circumvent access restrictions, content filters, or attempt to gain unauthorized entry to restricted areas of the Services.
- 2.8 Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international laws.
3. USER CONTENT LICENSES AND RESPONSIBILITIES
3.1 Content License. By submitting User Content, you grant Holalit a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable license to use, reproduce, adapt, modify, distribute, and display such content in connection with operating and improving the Services.
3.2 Your Representations. You warrant that your User Content does not infringe upon any third-party rights, including intellectual property, privacy, or publicity rights, and complies with all applicable laws. You waive any moral rights or similar claims regarding your User Content.
3.3 Content Management. Holalit reserves the right, but not the obligation, to monitor, screen, edit, or remove User Content at its sole discretion, including content that violates these Terms. Holalit does not endorse and is not responsible for User Content.
3.4 Indemnity. You agree to indemnify and hold harmless Holalit from any claims, damages, or losses arising from your User Content or your breach of these Terms.
4. VIRTUAL ITEMS, SUBSCRIPTIONS, AND PAYMENT TERMS
4.1 Virtual Currency. You may purchase virtual tokens ("Tokens") for use within the Services. Tokens are a licensed, non-transferable, non-refundable virtual currency with no cash value, except where required by applicable law.
4.2 Payment Processing.
- All payments are processed in U.S. dollars unless otherwise specified.
- Your statutory rights as a consumer are not affected by these Terms.
- For digital content, your right to cancel may be limited once performance has begun, though you retain rights regarding faulty content.
4.3 Subscription Terms.
- Subscriptions automatically renew unless auto-renewal is disabled at least 24 hours before the current billing period ends.
- You may manage and cancel subscriptions through your device's app store (e.g., Apple App Store or Google Play Store).
- Introductory offers and free trials are limited to new subscribers.
- We may modify subscription pricing or features with advance notice.
5. INTELLECTUAL PROPERTY RIGHTS
Holalit and its licensors own all rights, title, and interest in the Services, including all content, data, and materials, which are protected by copyright, trademark, and other intellectual property laws. These Terms grant you only a limited license to use the Services and do not transfer any ownership rights.
6. INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS

Your notice must include the information required by the Digital Millennium Copyright Act (DMCA) or other applicable U.S. laws. We will terminate the accounts of repeat infringers.
7. DISCLAIMERS AND LIMITATION OF LIABILITY
7.1 Service "As Is". The Services are provided on an "as is" and "as available" basis, without warranties of any kind, except as required by law. We are not liable for User Content, user conduct, or any service interruptions or errors.
7.2 Liability Cap.
- Nothing in these Terms limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited under applicable law.
- To the fullest extent permitted by law, Holalit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising from your use of the Services.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 Governing Law. These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
8.2 Jurisdiction. You and Holalit agree to the exclusive jurisdiction of the state and federal courts located in Denver, Colorado, for resolving any legal disputes.
8.3 Dispute Resolution. We encourage you to contact us directly to resolve any issues before initiating formal proceedings. As a consumer, you may have the right to pursue claims in your local courts in accordance with applicable law.
9. GENERAL PROVISIONS
These Terms constitute the entire agreement between you and Holalit and supersede all prior agreements.
These Terms do not create any third-party beneficiary rights.
Our failure to enforce any provision is not a waiver of our rights.
All rights not expressly granted are reserved.
You may not assign or transfer your rights under these Terms without our prior written consent.
These Terms are provided in English, which shall be the controlling language.
